Terms of Service

1. Scope

These Terms of Service ("Terms") govern your use of the Nodion.ai API, customer portal, and related services ("Service") provided by Nodion GmbH ("Nodion", "we", "us"), a company registered in Germany. By creating an account or using the Service, you agree to these Terms.

The Service is intended primarily for business users and developers. If you are a consumer (§ 13 BGB), mandatory statutory consumer rights remain unaffected.

2. Service Description

Nodion provides API access to open-weight large language models hosted on European GPU infrastructure. The Service includes chat completions, embeddings, reranking, the Responses API, file uploads, and additional endpoints as documented. A free tier and paid plans with usage-based billing are available.

3. Account Registration

You must provide a valid email address to create an account. You are responsible for maintaining the security of your API keys and account credentials. You must not share API keys with unauthorized third parties.

4. Acceptable Use

You agree not to use the Service to:

  • Generate content that violates applicable law
  • Attempt to circumvent rate limits or usage quotas
  • Reverse engineer, probe, or test the vulnerability of the Service
  • Resell or redistribute API access without prior written agreement
  • Transmit malware or interfere with the Service's operation

5. Pricing and Payment

Usage is billed per token as displayed on our pricing page. Prices are in EUR and exclusive of VAT where applicable. Payments are processed by Stripe. We reserve the right to adjust pricing with 30 days' notice. Prepaid balances are non-refundable except where required by law.

6. Free Tier

The free tier provides up to 100,000 tokens per calendar month at no cost. Free tier usage is subject to rate limits. We reserve the right to modify or discontinue the free tier with 30 days' notice.

7. Availability and SLA

We try to keep the Service available, but we cannot guarantee uninterrupted uptime. The Service is provided "as is" without warranty of any kind. Model outputs can be wrong or incomplete; please review them before you rely on them. We will announce scheduled maintenance in advance when we can.

8. Data Processing

AI inference runs on infrastructure in the European Union. For chat completions and embeddings, we do not store your prompts or model outputs. We only keep billing metadata (token counts). Optional endpoints (Responses API, file uploads, voice) may store data for a limited time, as described in our Privacy Policy. We never train on your data.

9. Intellectual Property and Model Licenses

You retain all rights to your input and output content. We claim no ownership over content generated through the Service. The models served are open-weight and subject to their respective licenses (e.g. Apache 2.0, Modified MIT). You are responsible for complying with those licenses in your use of model outputs. Nodion is an independent hosting provider and is not affiliated with IBM, Mistral, Google, or other model authors.

10. Limitation of Liability

To the maximum extent permitted by law, Nodion's total liability shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, except where liability cannot be excluded under mandatory applicable law (including consumer protection law).

11. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms or engage in abusive behavior. Upon termination, your remaining balance (if any) will be handled in accordance with applicable law.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. For merchants, legal entities under public law, and public-law special funds, the courts of Stuttgart, Germany shall have exclusive jurisdiction. For consumers, this jurisdiction clause applies only to the extent permitted by mandatory law.
